The Role and Responsibility of Private Pension Partners Investments Inc.

Private Pension Partners Investments Inc. (“P3I”) is a firm incorporated under the Canada Business Corporations Act, with its head office in Winnipeg, Manitoba. P3I is registered under the category of “exempt market dealer” (EMD) in the provinces of Manitoba, British Columbia, Alberta, Saskatchewan and Ontario. As an EMD, P3I may act as a dealer or an underwriter in connection with distributions of securities under prospectus exemptions, such as the “accredited investor exemption” set forth in applicable securities legislation. P3I does not act as a dealer or underwriter in a distribution of securities made under a prospectus.

While P3I may from time to time offer securities of other issuers, P3I was formed primarily for the purpose of raising capital on behalf of real estate entities (“P3 Real Estate Entities”) that are managed or controlled by affiliates of P3I (the “P3 Affiliates”).   Under applicable securities laws, P3I has a number of obligations that it must fulfil to clients who wish to purchase securities offered by P3I, including obtaining “know your client” information, disclosing actual or potential conflicts of interest to clients, disclosing related issuers and connected issuers to P3I and, subject to certain exceptions for “permitted clients” (as defined under applicable securities laws) who waive the requirement, making a suitability determination prior to recommending an investment in securities offered by P3I.  
P3I is also responsible for business development among investment advisors, financial planners, investment counsellors and family offices.

Securities dealers registered in other jurisdictions of Canada may also sell the securities of such issuers.

An individual who, either alone or with a spouse, has net assets of at least $5,000,000. For the purposes of this test, net assets include all assets and liabilities. It does not include any other assets such as directly held real estate, whether for personal use or held for investment purposes.
An individual whose net income before taxes exceeded $200,000 in each of the two most recent calendar years or whose net income before taxes combined with that of a spouse exceeded $300,000 in each of the two most recent calendar years and who, in either case, reasonably expects to exceed that net income level in the current calendar year.
An individual who, either alone or with a spouse, has net assets of at least $5,000,000. For the purposes of this test, "net assets" includes all assets and liabilities.
